Our Guiding Principles at Material Motion
As an Employee-Owned Company, Material Motion will conduct its business honestly and ethically wherever we operate in the world. We will work diligently to improve the quality of our products and services and will create a reputation for fairness, respect, integrity, trust and sound business judgement.
Directors, Officers, Employees, Contractors or Affiliates (collectively, “Stakeholders”) will not participate in any illegal or unethical conduct that is against the interests of the company. Stakeholders must never permit their personal interests to conflict with the interests of the Company, its customers, suppliers, and others.
No bribes, kickbacks, rebates or other similar remuneration or consideration shall be given to any person, company or organization in order to attract or influence business activity. Stakeholders shall avoid gifts, gratuities, fees, enticements, or excessive entertainment to attract or influence business activity. Stakeholders shall avoid using customer contacts or other business information to advance their private business or personal interests.
The ethical performance of the company is the sum of the ethics of the people who work at and for Material Motion. We are all expected to adhere to the highest standards of personal integrity and honesty.
Employment Practices and Work Environments
The Company pursues fair employment practices in every aspect of its business, domestically and internationally. Stakeholders must comply with all applicable labor and employment laws, including anti-discrimination laws and laws related to freedom of association and privacy. Failure to comply with labor and employment laws can result in civil and criminal liability against directors, officers, employees, independent contractors and/or the Company, as well as disciplinary action by the Company, up to and including termination of employment or termination of a Distributor/Agent agreement.
The Company is committed to providing a safe and healthy working environment for its stakeholders and to avoiding adverse impact and injury to the environment and the communities in which it does business. Stakeholders must comply with all applicable environmental, health and safety statutes, regulations and all applicable federal, state, county and local laws.
Harassment and Discrimination
The Company is committed to providing equal opportunity and fair treatment to all individuals on the basis of merit, without discrimination because of race, color, religion, national origin, sex, pregnancy, sexual orientation, age, disability, veteran status or other characteristics protected by law. The Company also prohibits harassment based on these characteristics in any form, whether physical or verbal, sexually or racially degrading words, or the display of same in the workplace and whether committed by supervisors, non-supervisory personnel or non-employees.
Relationships with Suppliers
The Company deals fairly and honestly with its suppliers. This means that our relationships with suppliers are based on price, quality, service and reputation.
When permitted by law, occasional and reasonable meals, gifts and entertainment may be exchanged with current or prospective customers and suppliers of the Company. Such gifts and entertainment must be non-cash and infrequent in nature. No stakeholder should ever give or receive gifts or entertainment under circumstances which could present an appearance to others that such person’s reasonable business judgment was compromised.
Compliance with Laws
All directors, officers, employees or distributors/agents of the Company should respect and comply with all of the laws, rules and regulations of the United States and other countries, and the states, counties, cities and other jurisdictions in which the Company conducts its business or any other laws, rules and regulations of which are applicable to the Company.
Confidentiality and Security of Information and Data
Stakeholders of Material Motion may meet with or come into possession of proprietary or confidential business information and must take appropriate steps to assure that such information is strictly safe guarded. This information, whether it is on behalf of our company or any of our customers, suppliers or other affiliates could include strategic business plans, operating results, product specifications, strategies, customer lists, personal records or information, acquisitions, future forecasts, processes and methods. Any such proprietary and sensitive business information about Material Motion or other companies and entities shall be treated with extreme confidentiality. Any unauthorized release of confidential information or data will be subject to disciplinary action.
Misuse of any such confidential information may subject the company to civil and criminal charges.
Stakeholders shall not make available to anyone outside of the company confidential or proprietary information. Stakeholders must maintain the confidentiality of all information so entrusted to them, except when disclosure is authorized by agreement between the parties and legally binding.
Online Conduct
Stakeholders will be courteous and always conduct themselves in a professional manner and be aware that actions captured via images, posts, or comments on the internet or in any communication can reflect adversely on the Company. The Company’s policies against discrimination and harassment apply fully to the Company’s technology platforms.
These guidelines are in addition to the policies set out in the Material Motion Code of Conduct and Ethics and other Company policies.
